6.6 Valuation Considerations

Valuation is a central component of Series A negotiations, as it determines the percentage of the company that founders and existing shareholders will retain post-financing. While valuation discussions are often high-profile, they are only one element of the overall deal.

Founders should balance the desire for a high valuation with the need to attract the right investors and secure terms which support long-term growth. Overemphasising valuation at the expense of governance alignment or investor support can lead to challenges in future rounds or operational friction.

In many cases, a slightly lower valuation with a supportive lead investor and aligned co-investors can be more beneficial than a higher valuation with misaligned partners.
