Governance and legal readiness are often overlooked until late in the exit process, when correcting deficiencies becomes costly and time-consuming. This dimension includes well-structured shareholder agreements, clear intellectual property ownership, accurate cap tables and compliance with relevant regulations.

Unresolved issues in these areas frequently surface during due diligence, at which point leverage has often shifted away from the seller. Disputes over ownership, ambiguous IP rights or non-compliance with regulations can delay transactions, reduce valuation or even cause deals to collapse.

Strong governance structures also support better decision-making throughout the venture’s life. Clear board processes, documented agreements and transparent ownership arrangements create confidence amongst stakeholders and reduce the risk of conflict at critical moments.
