6.3 Creating Competitive Tension
One of the most powerful levers for maximising value is creating competitive tension among potential buyers. When multiple parties are interested the seller can leverage demand to negotiate favourable terms, pricing and structure. Competitive tension can be fostered through several strategies:
- Conducting a broad yet targeted outreach to a curated list of strategic and financial buyers.
- Demonstrating strategic alignment and uniqueness to each prospective buyer, highlighting why acquiring the company aligns with their growth priorities.
- Carefully managing timing and communication to prevent one buyer from gaining exclusive leverage prematurely.
Competitive tension signals desirability, increases perceived scarcity and often results in higher valuations or better deal terms. Importantly, tension must be authentic; artificial or mismanaged processes can erode trust and damage credibility with serious buyers.
